4. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Neemba System and its licensors. Our trademarks and trade dress may not be used without prior written consent.

For custom development projects, intellectual property rights will be governed by a separate Master Service Agreement (MSA) or Statement of Work (SOW).

5. Payment Terms

For paid services, you agree to pay all fees as specified in your invoice or subscription plan.

5.1. Subscription Fees

Subscription fees are billed in advance on a monthly or annual basis and are non-refundable.

5.2. Custom Project Fees

Fees for custom projects are outlined in a project proposal or SOW. A standard payment schedule involves an upfront deposit, milestone payments, and a final payment upon project completion.

5.3. Late Payments

Overdue invoices may be subject to late fees at a rate of 1.5% per month or the maximum rate allowed by law.

6. Limitation of Liability & Disclaimer

To the fullest extent permitted by applicable law, Neemba System shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the Service.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind.

7. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of Mauritius, without regard to its conflict of law provisions.
